After conducting a forensic financial review of China Gold International Resources Corp Ltd. (TSX: CGG / HK: 2099 or “the Company”), a Vancouver, B.C. based company with two mines in the Tibet and Inner Mongolian autonomous regions of China, we have serious concerns with the Company's management, Board governance, related party dealings with its largest shareholder China National Gold (“CNG”), web of auditors, and financial and geologic advisors. We provide evidence that CGG was recently delinquent in filing its Canadian ESTMA reporting to deter corruption and incorrectly dated its filing. This is alarming in the context that two of CGG’s former CEO and Chairmen have been reprimanded with one serving time in prison, and its new independent financial advisor being linked in multiple dealings with Ms. Ma Xiaoqiu who was reportedly charged with fraud and money laundering in Shenzhen, China. On top of our concerns, our analysis suggests that both of CGG’s mining operations are experiencing greater production challenges and that the Company is likely to have difficulty meeting aggressive financial forecasts. We believe that CGG trades at an unwarranted premium to other metal and mining peers listed in Hong Kong and globally listed peers operating in safer, non-Communist jurisdictions, and with better quality governance. We estimate 50% – 75% downside risk to CGG’s share price under certain scenarios and expect the share price to underperform global mining stocks.

The report highlights several key concerns with the Company, including:

• The Company’s troubling dependency on its largest shareholder, China National Gold. Sales to CNG represented 99.5% of the Company’s total revenue in 2025.

• We find discrepancies in recent reported payments between CGG and CNG.

• We express grave concerns about multiple parties associated with CGG including its Founder, Past Chairman, Financial Advisors, Auditors, Audit Committee Directors, and Geology Consultants.

• CGG was recently delinquent with transparency reporting obligations in Canada with an apparent misdated filing.

• We believe CGG is likely to disappoint investors and is likely under greater financial pressure than the market appreciates.
